Vol. 526 No. 4

Written Answers. - Company Takeovers.

Austin Deasy

Question:

125 Mr. Deasy asked the Tánaiste and Minister for Enterprise, Trade and Employment if she has satisfied herself that the merger of companies (details supplied) in 1997, complied with the Mergers and Take-Over (Control) Act, 1978, which obliged the companies to present both sides of the case to the shareholders and board members of both companies. [26811/00]

The merger concerned was approved by me in August 1997, without referral to the competition authority, and in accordance with the Merger and Take-over (Control) Acts, 1978-1996.

I understand that both industrial and provident societies individually approved the amalgamation of the societies in accordance with industrial and provident societies legislation. I am aware that concerns were expressed by some members of the merged society in relation to investment stock units issued by Waterford Co-op. This is a matter between the parties concerned and is not one in which I have a function.
